Terms of Service

1. Introduction and Acceptance

Welcome to PodRewind. These Terms of Service ("Terms") constitute a legally binding agreement between you and ARCHELAUS LLC ("Company," "we," "us," or "our"), a New York limited liability company, governing your access to and use of the PodRewind website and services (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. We recommend that you print or save a copy of these Terms for your records.

When you buy a plan or a credit pack, the checkout page states that completing the purchase means you agree to these Terms and our Refund Policy. We record which version of these Terms was in effect for each purchase.

2. Description of Service

PodRewind is a podcast archival, publishing, and search platform that provides:

• Automatic transcription of podcast episodes using speech-to-text technology
• Speaker identification and labeling within episodes
• Full-text and semantic search across your podcast archive
• Content generation tools including show notes, social copy, images, and video clips on eligible plans
• Public wiki publishing for episodes and posts, including custom domain support on eligible plans
• Analytics and insights about your podcast content
• Audio playback with synchronized transcript navigation

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration and Security

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Be at least 18 years of age
• Accept responsibility for all activities that occur under your account

You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription Plans and Billing

PodRewind offers the following subscription options:

Free Plan

The free plan includes up to 5 episodes per RSS feed with full transcription, speaker identification, and search capabilities. No credit card is required.

Creator Plan

The Creator plan is billed at $19 per month or $190 per year, per RSS feed. It includes unlimited episodes, chat and content generation tools, and 1 team seat.

Pro Plan

The Pro plan is billed at $39 per month or $390 per year, per RSS feed. It includes all Creator features plus video tools, custom domains, custom wiki posts, wiki show notes, topic pages, and additional usage allowances.

Historical Ingestion Fees

Paid upgrades may include a one-time ingestion fee for historical audio processing. This fee is currently $0.20 per hour of historical content processed above the included free tier. Monthly and annual plans both include 1,000 hours of free historical processing. Hours above the free tier are charged at the current per-hour rate.

Fair Use Policy: "Unlimited" episodes are subject to fair use. We reserve the right to throttle or suspend accounts that exceed 1,000 hours of audio processing per month or otherwise place an unreasonable burden on our infrastructure, in our sole discretion.

Billing Terms

Paid subscriptions are billed in advance on a monthly or annual basis, per RSS feed. An organization may maintain multiple feed subscriptions at different tiers. All fees are non-refundable except as expressly set forth in these Terms, our Refund Policy, or as required by applicable law. We reserve the right to change our pricing with 30 days' notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at help@podrewind.com. Upon cancellation:

• Your subscription will remain active until the end of your current billing period
• You will not be charged for subsequent billing periods
• Your account will revert to the free plan limitations
• Public wiki visibility may be reduced to free-tier limits, including automatic unpublishing of episodes above the free cap
• Downgrades from Pro may disable Pro-only wiki features, including published custom posts and verified custom domains
• Your core account and podcast data will be retained unless you request deletion

Money-Back Guarantee

We offer a satisfaction guarantee for new subscribers:

• Monthly subscriptions: 14-day money-back guarantee from your first payment
• Annual subscriptions: 30-day money-back guarantee from your first payment

On either plan, a guarantee refund is reduced by $0.20 for each hour of your archive we have already transcribed, and the deduction never exceeds what you paid.

This guarantee applies to first-time subscribers only. Renewal payments and credit packs are not eligible for the money-back guarantee.

Non-Refundable Charges

The following charges are non-refundable:

• Ingestion fees: One-time fees for processing your historical podcast archive are non-refundable once processing has begun, as we incur third-party transcription costs immediately
• Partial periods: We do not provide pro-rated refunds for unused portions of a billing period
• Referral credits: Have no cash value and cannot be refunded

6. Referral Program

PodRewind offers a referral program for eligible paid subscribers (Creator or Pro). By participating in the Referral Program, you agree to the following terms:

Eligibility

To participate as a referrer, you must have an active paid subscription in good standing. Referred users must be new customers with no prior PodRewind account and must complete their first paid subscription within 30 days of clicking a referral link.

Rewards

When a referred user completes their first qualifying purchase:

• Referrer: Receives $19 credit applied to their Stripe Customer Balance
• Referred User: Receives $19 off their first paid subscription

Referral credits have no cash value and are non-transferable. Credits cannot be sold, exchanged, or redeemed for cash. Credits apply automatically to future subscription invoices and are forfeited if your account is closed.

Prohibited Activities

You may not:

• Refer yourself by creating multiple accounts or using alternate identities
• Share referral codes on public coupon, deal, or rebate websites
• Use misleading, deceptive, or spammy promotion methods
• Send unsolicited bulk emails (spam) containing referral codes
• Use automated systems, bots, or scripts to generate referrals
• Refer users who are already PodRewind customers

Credit Clawback

We reserve the right to revoke referral credits if:

• The referred user requests a refund or initiates a chargeback within 30 days
• The referred user cancels their subscription within 30 days
• Either party violates these terms or engages in fraudulent activity
• The referred user's payment is declined or disputed

Clawbacks are applied as debit adjustments to your Stripe Customer Balance, which may result in a negative balance applied to your next invoice.

Referral Tracking

Referral codes are shared via URL parameter (e.g., ?ref=YOUR_CODE). When a user clicks your referral link, we store the code in a cookie for 30 days. If the user signs up within that period, you receive credit. We use last-click attribution, meaning the most recent referral code receives credit. For more information about our cookie practices, see our Privacy Policy.

Tax Responsibility

You are solely responsible for any tax obligations arising from referral credits. We do not provide tax advice. For U.S. taxpayers, credits may be considered taxable income, and we may issue IRS Form 1099-MISC if credits exceed $600 in a calendar year.

Program Changes

We reserve the right to modify, suspend, or terminate the Referral Program at any time with 30 days' notice. Changes to reward amounts or eligibility requirements apply prospectively. Upon program termination, any pending credits not yet applied will be forfeited.

7. Content Ownership and License Grant

Your Content: You retain all ownership rights to the podcast content, audio files, and associated metadata that you submit to the Service ("Your Content"). We do not claim ownership of Your Content.

License to Us: By submitting Your Content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, process, store, and display Your Content solely for the purpose of providing and improving the Service. This license includes the right to generate transcripts, identify speakers, and create searchable indexes of Your Content. For clarity, this license does not include the right to use Your Content to train, fine-tune, or improve machine learning or artificial intelligence models. Third-party providers process Your Content under their own terms (see Section 10).

Generated Content: Transcripts, speaker labels, and other outputs generated by our Service from Your Content are provided to you for your use. You may export, copy, and use these outputs as you see fit, subject to any third-party rights in the underlying content.

7A. Host Voiceprints

To recognize the hosts of your show in new episodes, we create and store a voiceprint (a set of numbers made from a voice recording) for each speaker marked as a host of your show. We never store a voiceprint for a guest. Our Privacy Policy describes this under Biometric data.

Your consent: By accepting these Terms, you agree that if you host your show, we may create, store and use a voiceprint of your voice for this purpose.

Other hosts: If anyone else hosts your show, you confirm that each of them has agreed to our creating, storing and using a voiceprint of their voice for this purpose. If a co-host has not agreed, mark them as a guest in the speaker editor or email us before we process new episodes. You agree to defend, indemnify, and hold harmless ARCHELAUS LLC, its officers, directors, employees, contractors, and agents from any claim arising from a host's voiceprint where that host had not agreed.

Purpose and limits: We use a host's voiceprint only to recognize that host in your own show, inside your account. We do not sell voiceprints, use them for any other customer, or use them to train any model. Modal computes voiceprints and our database provider (Supabase) stores them, both only on our behalf.

Retention: We keep a host's voiceprint while the show is in your account. We delete it when the speaker is marked as a guest; within 30 days after the show or your account is deleted, or after consent is withdrawn; and in any case no later than 3 years after the last episode in which we processed that host's voice.

Withdrawal: The account owner can withdraw consent at any time by emailing help@podrewind.com. We then stop creating voiceprints for the account and delete its voiceprints within 30 days. The rest of the Service keeps working.

8. Acceptable Use Policy

You agree not to use the Service to:

• Upload content that you do not have the right to distribute
• Violate any applicable law, regulation, or third-party rights
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Scrape, crawl, or use automated means to access the Service without permission
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use the Service to process content that is illegal, defamatory, or infringes on others' rights

We reserve the right to suspend or terminate your access to the Service for any violation of this Acceptable Use Policy.

9. Intellectual Property and DMCA Notice

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of ARCHELAUS LLC and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks, logos, and service marks may not be used without our prior written consent. Nothing in these Terms grants you any right to use the PodRewind name, logo, or branding.

DMCA Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Service infringes a copyright or other intellectual property infringement of any person.

If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, you must submit your notice in writing to our Copyright Agent via email at info@podrewind.com and include in your notice a detailed description of the alleged infringement.

You may be held accountable for damages (including costs and attorneys' fees) for misrepresenting that any Content is infringing your copyright.

10. Third-Party Services

The Service integrates with and relies upon third-party providers, including but not limited to:

• AssemblyAI for transcription processing
• OpenAI, Anthropic (Claude), xAI (Grok) and Google Gemini for AI-powered features
• Modal for audio transcription and video rendering infrastructure
• fal for generating images used in video clips
• Postmark for sending account and product email
• Stripe for payment processing and billing operations
• Supabase for authentication, database, and file storage
• Vercel for application hosting and domain infrastructure
• Sentry for error monitoring and diagnostics

Your use of the Service is also subject to the terms and policies of these providers. We are not responsible for the availability, accuracy, or content of third-party services. Any issues arising from third-party services should be directed to the respective provider.

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Transcriptions will be 100% accurate
• Speaker identification will be completely accurate
• The Service will meet your specific requirements
• Any errors in the Service will be corrected

AI-generated transcriptions and speaker identifications are provided as tools to assist you and should be reviewed for accuracy before any critical use. You acknowledge that the Service uses artificial intelligence systems which may produce inaccurate, offensive, or biased outputs ("Hallucinations"). You agree that you are solely responsible for verifying the accuracy of any transcript, summary, or content before publishing or relying on it.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARCHELAUS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Errors or inaccuracies in transcriptions or speaker identification

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

The limits in this section do not apply to liability that the law does not allow us to limit or exclude, or to liability for our gross negligence or intentional misconduct.

13. Indemnification

You agree to defend, indemnify, and hold harmless ARCHELAUS LLC, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, Your Content, or your violation of any rights of a third party.

14. Dispute Resolution, Arbitration, and Governing Law

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Please read this section carefully: it affects how a dispute between us is resolved.

When this section applies: The rest of this section applies to purchases, accounts and other agreements made by accepting these Terms at version 2026-10-03.2 or later. If you accepted an earlier version, that version's dispute terms keep applying to that agreement.

Informal Resolution: Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at help@podrewind.com. We will attempt to resolve the dispute informally within 60 days.

Arbitration: Any dispute arising out of or relating to these Terms or the Service that we can't resolve informally will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The hearing is held by video, by phone or on written submissions, or in person in the county where you live, whichever you choose. Fees are paid as those rules provide. The Federal Arbitration Act governs this section.

Small Claims: Either of us may instead bring an individual claim in small-claims court, if the claim qualifies there.

Waiver of Class Action: You and we may bring claims against each other only individually, not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not combine more than one person's claims or award relief to anyone other than the individual party.

Courts: Any dispute that is not arbitrated, other than a small-claims matter, will be brought in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts. If any part of this section is found unenforceable for a claim, that claim alone goes to those courts, and the rest of this section still applies.

15. Termination, Modifications, and Contact

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email. Your continued use of the Service after any changes constitutes acceptance of the new Terms, except that the dispute-resolution terms in Section 14 apply only as stated in Section 14.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ARCHELAUS LLC regarding the Service and supersede any prior agreements, except that the dispute-resolution terms in Section 14 apply only as stated in Section 14.
